Seychelles Limited Partnerships

A Seychelles Limited Partnership (“LP”) is a useful Tax Planning vehicle because it can receive income from sources outside of Seychelles which it can then distribute to non-Seychelles residents without having to pay tax in Seychelles. LPs are commonly used for international joint venture activities mainly due to the ability of the structure to shield one partner from any form of liability as regards the venture.

The law provides for the participation of both “General” Partners & “Limited” Partners. In the event that there are insufficient LP assets to satisfy a particular debt it is the General Partner only who shall be made liable. The Limited Partners cannot as a rule be made liable for a Limited Partnership’s debts.

Other Key Benefits & Features of the Seychelles Limited Partnership include:

  1. A general partner may also take an interest as a limited partner
  2. The limited partner/s shall not be made liable for any debts and obligations exceeding the assets of the Limited Partnership
  3. Thanks to an amendment in 2011 to the Limited Partnership Act both the General Partner and Limited Partner/s can be non-Seychelles resident
  4. A Seychelles LP pays no Seychelles tax or duty on income or profits of the LP
  5. A Seychelles LP is exempt from Seychelles stamp duty, trades tax and from Social Security Act contributions (guaranteed for a minimum of twenty years)
  6. Minimal annual compliance requirements
  7. Minimal requirements to sever or discontinue the Partnership
